1. Acceptance of Terms

By accessing or using any website, portal, API, application, or other service (collectively, “Services”) provided by Cirrus Inc., a Florida corporation, doing business as CirrusTranslate (“CirrusTranslate,” “we,” “our,” or “us”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Services.

2. Definitions

3. Services

CirrusTranslate offers human- and AI-assisted language services—including translation, transcription, captioning, and related consulting—delivered remotely through our online platform. We do not guarantee the availability of any specific language pair, turnaround time, or feature.

4. Ordering & Payment

  1. Quote & Acceptance. After receiving your Source Material we will issue an automated or manual quote. An Order is accepted only when we send written confirmation.
  2. Fees. Prices are stated in U.S. dollars and exclude taxes, which you are responsible for paying.
  3. Invoicing & Due Date. Invoices are due upon receipt unless otherwise stated. Late payments may incur a 1.5 % monthly finance charge (or the maximum rate permitted by law).
  4. Refunds. All sales are final. We may, at our sole discretion, issue a partial or full refund in limited circumstances.

5. Client Responsibilities & License to Source Material

  1. Ownership & Authority. You represent and warrant that you either (a) own all right, title, and interest in and to every file, document, video, audio track, or other content you upload or otherwise provide (“Source Material”) or (b) hold all necessary licenses, permissions, or other legal authority to submit the Source Material to CirrusTranslate for processing.
  2. Compliance. You further warrant that the Source Material does not infringe any third-party intellectual-property right; violate any contract, NDA, or court order; or contravene any Applicable Law.
  3. Grant of License. By submitting Source Material, you grant CirrusTranslate a non-exclusive, worldwide, royalty-free license (with the right to sublicense solely to authorized employees, contractors, and listed subprocessors) to:
    • store, host, and maintain secure copies of the Source Material;
    • reproduce, display, adapt, translate, transcribe, create derivative works from, and otherwise process the Source Material exclusively for (i) providing the Services you request, (ii) performing internal quality-assurance, and (iii) complying with our legal obligations;
    • deliver translated or otherwise processed outputs (“Deliverables”) to you in any format you designate.
    This license terminates when the Source Material is deleted under our retention schedule (§ 4) or upon your verified deletion request, except to the extent continued storage is required by law or for enforcement of these Terms.
  4. Accurate & Final Files. You must supply complete, legible, and finalized Source Material. Subsequent changes may require a new Order and additional fees.
  5. Review Window. You will review Deliverables within 10 calendar days of receipt and notify us of any concerns. Absent timely notice, Deliverables are deemed accepted.

7. Right to Refuse or Cancel

We reserve the right, at any time and for any reason, to refuse, suspend, or cancel Service—including after acceptance of an Order—without liability to you. Reasons may include (but are not limited to) prohibited content, non-payment, excessive revision requests, or capacity constraints.

8. Turnaround & Delivery

Any delivery date is an estimate. We are not liable for delays caused by force majeure, technical failures, or circumstances beyond our reasonable control. Deliverables are provided in the agreed format via secure download link or other agreed method.

9. Revisions & Quality

If Deliverables materially fail to conform to the Order’s specifications, we will, at our option, re-work the Deliverables or issue a credit. This is your sole remedy for quality issues.

We agree to keep Source Material and Deliverables confidential and to use them only to perform the Services, except where disclosure is required by law or court order. Confidentiality obligations survive for three (3) years after completion or termination of an Order.

12. Warranties & Disclaimers

13. Limitation of Liability

To the maximum extent permitted by law, CirrusTranslate’s total cumulative liability (whether in contract, tort, or otherwise) shall not exceed the amount you paid for the Order giving rise to the claim. In no event shall CirrusTranslate be liable for any indirect, incidental, special, punitive, or consequential damages—including loss of profits, revenue, or data—even if advised of the possibility.

14. Indemnification

You agree to defend, indemnify, and hold harmless CirrusTranslate and its directors, officers, employees, and contractors from any claim, loss, or expense (including attorneys’ fees) arising out of (a) your breach of these Terms; (b) Source Material you provide; or (c) your use of the Deliverables.

15. Termination

Either party may terminate an Order if the other materially breaches these Terms and fails to cure within 10 days after written notice. Sections 5 – 7 and 10 – 18 survive termination.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, U.S.A., without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in St. Johns County, Florida, and the parties consent to personal jurisdiction and venue therein.

17. Changes to Terms

We may update these Terms at any time by posting a revised version to our website. Continued use of the Services after the effective date constitutes acceptance of the revised Terms. The “Last updated” date above will reflect the most recent changes.

18. Severability

If any provision of these Terms is found unenforceable, that provision will be re-interpreted to reflect the parties’ intent as closely as possible, and all remaining provisions will remain in full force.

19. Entire Agreement

These Terms, the Privacy Policy, and any executed Order constitute the entire agreement between you and CirrusTranslate regarding the Services and supersede all prior understandings.
